Phoenix Energy Tech Co. Secures $33M Cross-Border Licensing Deal

FlooidCX Corp. Quantum Energy Corporation, worldwide exclusive licensee and manufacturer of transformative Direct Energy Systems for the direct generation and distribution of electrical energy, announced it has executed a Standstill Agreement which will include an Exclusive Manufacturing and Licensed Distribution Agreement with CONSTRUCTORA ELÉCTRICA LATINOAMÉRICA, located at San Agustín 12, San José de los leones 1a sección, Naucalpan de Juárez Estado de México, México.

The initial US$33M financial commitment includes a US$13M licensing fee, and an additional US$10M to be invested initially in Mexico for manufacturing. The licensing fees will be credited towards active Direct Energy System installations in the United States by the end of this month. The Company will also fund an additional $10MM into manufacturing for Direct Energy Systems in Mexico during fiscal year 2026.

The agreements allow for significant financial growth in Mexico, and additional investment from the Company and the Master Licensee in the future.

Quantum’s domestic Mexico office will be located at Av. Adolfo López Mateos No. 12, Col. Santa Cruz del Monte, Naucalpan de Juárez, Estado de México, C.P. 53110, México, and temporarily supervised by the Master Licensee. Quantum is currently seeking a professional engineer to fill the position of Division Director for Mexico, by the end of this fiscal quarter.

Two additional definitive licensing contracts covering the Company’s Direct Energy equipment and related products and manufacturing to be located in Mexico and are to be part of the overall agreements and are expected to be forthcoming and signed under both United States and Mexican law (the Agreements).

Mr. Jorgiade Juarez, CEO of CEL stated, “This concludes many months of diligent work on this cooperative opportunity in Mexico. Both Quantum staff and our staff and associates at CEL have established a strong working partnership with Quantum.”

Under the Agreement(s), the Company has also agreed to the development of manufacturing facilities in Mexico for the Company’s equipment and products, including capacitor and battery storage systems. CEL and the Company will update news on the first Direct Energy System installations and manufacturing facilities as business planning moves forward in this fiscal quarter. The Agreement(s) also include a First Mover right in additional licenses in Spain and other jurisdictions.

The Master Licensee will offer the Company’s entire product line, including industrial, commercial, and retail products. CEL will exclusively represent all Quantum products, intellectual property for licensing, and internet sales in Mexico. Initial Direct Energy Systems will be supplied by the Company in the United States.
